Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vconic website and any Vconic products, platforms, or services that are not otherwise governed by a signed customer agreement. "Vconic," "we," "us," and "our" refer to Vconic. "You" and "your" refer to the individual or entity using the Services.
By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.
We wrote these Terms in plain language where we could. The contractual terms are still binding. If anything is unclear, email contact@vconic.com.
1. Order takes precedence
Vconic is not a one-size-fits-all SaaS provider. Each platform deployment, integration, or paid engagement is governed by its own signed order form, master services agreement, statement of work, or similar written agreement between you and Vconic ("Order").
Where an Order exists, the Order controls. These Terms apply to the Services only to the extent the Order does not address a given subject. For any conflict or inconsistency between these Terms and an Order, the Order prevails for that engagement.
These Terms are intended primarily as a baseline for general website use, evaluations, demos, and other interactions that occur before or outside the scope of an Order.
2. The Services
Vconic provides a conversational intelligence and context platform built on the open vCon standard, along with related websites, APIs, integrations, and support channels (collectively, the "Services"). The specific Services made available to you, and the terms applicable to your use of them, are described in the applicable Order. In the absence of an Order, your use is limited to general public access to the Vconic website and any other Services Vconic makes openly available.
3. Eligibility
You may use the Services only if you can form a binding contract with Vconic under applicable law. The Services are not directed to children under 16 and may not be used by them. Any additional eligibility, qualification, or regional restrictions set out in the applicable Order also apply.
4. Accounts
To use most of the Services you must register for an account. You agree to provide accurate information, keep your credentials confidential, and notify us promptly at contact@vconic.com of any unauthorized access. You are responsible for all activity that occurs under your account. Account provisioning, roles, and access controls specific to your engagement are governed by the applicable Order.
5. Acceptable use
You agree not to:
- Use the Services to violate any law or the rights of others
- Reverse engineer, decompile, or attempt to derive source code from the Services, except to the extent applicable law expressly permits
- Resell, sublicense, or make the Services available to any third party except as expressly permitted by the applicable Order
- Use the Services to transmit malware, conduct attacks, or interfere with the integrity of the Services or any other system
- Upload or process content you do not have the right to upload or process, including content that infringes intellectual property, violates privacy, or breaches confidentiality
- Use the Services to send unsolicited marketing communications, including unsolicited SMS or email
- Circumvent any rate limit, access control, or security mechanism in the Services
Additional acceptable use obligations set out in the applicable Order also apply. Vconic may suspend or terminate access for any breach of this section.
6. Customer Data
"Customer Data" means the data, content, and conversational records you or your end users submit to, process through, or generate using the Services.
You retain all rights, title, and interest in Customer Data. You grant Vconic a non-exclusive, royalty-free license to process Customer Data solely to provide, maintain, and improve the Services for you, and to comply with law.
You are responsible for obtaining all consents and providing all notices required by law to collect and process Customer Data through the Services. You represent that you have the right to submit the Customer Data to the Services for the purposes contemplated in the applicable Order.
Vconic does not sell Customer Data. Vconic does not use Customer Data to train general-purpose AI models for third parties. The detailed terms governing Customer Data, including data residency, retention, security commitments, sub-processors, and any data processing addendum, are set out in the applicable Order. In the absence of an Order, our Privacy Policy at vconic.com/privacy describes our general handling practices.
7. Vconic intellectual property
The Services, including all software, documentation, designs, and trademarks, are owned by Vconic or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms and the applicable Order, Vconic grants you a limited, non-exclusive, non-transferable right to access and use the Services in accordance with the scope and rights described in the Order.
These Terms do not grant you any right in Vconic trademarks, logos, or branding without our prior written consent. Feedback you provide about the Services may be used by Vconic without obligation to you, except as otherwise set out in the applicable Order.
8. Third-party services
The Services may interoperate with third-party products and services. Your use of those third-party services is governed by their own terms, not these Terms. Vconic is not responsible for third-party services or their availability or behavior, except to the extent expressly stated in the applicable Order.
9. Fees and payment
Fees, currencies, billing frequency, payment terms, late-payment consequences, and any taxes are set out exclusively in the applicable Order. These Terms do not by themselves create any payment obligation. In the absence of an Order, the Services are made available without fees.
10. SMS communications
Vconic provides a support phone number to active customers through onboarding materials and troubleshooting documentation. Customers who send a text message to that number are initiating a support conversation and consenting to receive SMS replies from Vconic support. Vconic uses SMS solely to respond to customer-initiated support requests. Reply STOP to opt out at any time, or HELP for help. Message frequency varies based on your support needs. 11. Term and termination
These Terms apply for as long as you use the Services. The term, renewal, cure periods, and termination rights of any paid engagement are set out in the applicable Order.
Vconic may suspend or terminate access at any time if your use poses a security, legal, or reputational risk, or if you breach these Terms or the applicable Order.
On termination, your right to access the Services ends. Sections that by their nature should survive termination will survive, including Customer Data ownership, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and governing law.
12. Disclaimer of warranties
Except as expressly stated in the applicable Order, the Services are provided "as is" and "as available." To the maximum extent permitted by law, Vconic disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Vconic does not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.
13. Limitation of liability
The liability of each party in connection with the Services, including any caps, exclusions of damages, and carve-outs, is governed by the applicable Order. In the absence of an Order, and to the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, or lost data, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.
14. Indemnification
Any obligation of either party to defend, indemnify, or hold harmless the other in connection with the Services is governed by the applicable Order. In the absence of an Order, and to the maximum extent permitted by law, you will defend, indemnify, and hold harmless Vconic and its officers, directors, employees, and agents from and against any third-party claim arising out of your use of the Services in violation of these Terms or applicable law.
15. Confidentiality
Confidentiality obligations, permitted uses of confidential information, and any non-disclosure terms applicable to your engagement are set out in the applicable Order or in a separate non-disclosure agreement. In the absence of such an agreement, each party will use reasonable care to protect any non-public information disclosed by the other party in connection with the Services and will use it only for the purpose of evaluating or using the Services.
16. Governing law and disputes
Governing law, venue, and dispute-resolution procedures are set out in the applicable Order. Where no Order applies, the parties will first attempt in good faith to resolve any dispute arising under these Terms through informal discussion before pursuing other remedies. The U.N. Convention on Contracts for the International Sale of Goods does not apply to these Terms.
17. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will revise the effective date above and, where appropriate, notify customers directly. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms. Changes to these Terms do not modify the terms of any existing Order.
18. Miscellaneous
These Terms, together with any Order and the Privacy Policy, constitute the entire agreement between you and Vconic regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Failure to enforce any provision is not a waiver. You may not assign these Terms without Vconic's prior written consent. Vconic may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
